IE desk · Company Formation
Most Indian groups use a private company limited by shares. Incorporation at the CRO is the start. After that, the file is an accurate register of members, an annual return, financial statements on time, and Revenue numbers that VAT and corporation tax can hang off.
What we form and maintain
Private limited company
Directors, shareholders, constitution, and an Irish registered office. At least one EEA-resident director or a surety bond is a live Companies Act requirement — we scope this with the Irish partner before filing.
Revenue registrations
Corporation tax and, when needed, VAT and employer PAYE. Do not wait until the first return is due.
Annual return and RBO
File the annual return each year and keep the Register of Beneficial Ownership aligned when control changes.
Registered office and records
An Irish address that can receive CRO and Revenue mail, plus accounting records the Irish accountant and India consolidator can both use.
Formation pack we typically assemble
- Proposed name, share capital, and principal activity
- Director and shareholder KYC
- EEA-director or bond position
- Irish registered office
- Revenue tax registrations once the company exists
How Irish formation runs
- 1Map whether Ltd, branch, or another vehicle fits customers, owners, and banking.
- 2Prepare the CRO pack with the Irish company-service partner.
- 3File incorporation and set the accounting year-end.
- 4Open books and Revenue registrations as trading starts.
- 5Diary annual return, VAT, and corporation-tax dates.
PJRJ leads the India-side project from Delhi and Gurgaon. CRO filings that must be executed locally sit with Irish partners. This page is general information, not Irish reserved legal advice.
Ireland Company Formation FAQs
Indian residents can be directors, but Irish company law generally requires an EEA-resident director or a qualifying surety bond. Banking and where the company is managed still matter for tax residence. We map this with the Irish partner before papers are filed.
The CRO needs an Irish registered office that can receive official mail. A mail-forwarding address is not a substitute for accounting records or Revenue correspondence. We scope a practical office package with the Irish partner.
